These Terms of Use ("Terms") govern your access to and use of the Chartstone desktop application and the chartstone.io website (collectively, the "Service"), provided by SuiteStep, LLC ("we", "us"). By installing, running, or subscribing to the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service is provided "as is"

Chartstone is provided as is and as available, without warranty of any kind, express or implied, including (without limitation) warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Use is at your own risk. To the maximum extent permitted by law, SuiteStep, LLC will not be liable for any data loss, data corruption, downtime, lost profits, or other damages arising from your use of the Service.

2. Your NetSuite credentials and session

Chartstone uses the authenticated NetSuite session you create in the embedded browser to call NetSuite on your behalf. You are responsible for:

• The credentials you sign in with;
• Whether your role and permissions are appropriate for the operations you perform through Chartstone;
• All actions any AI agent, script, or other client takes against your NetSuite account through the local Chartstone server.

You agree not to use Chartstone in violation of any agreement you have with Oracle, NetSuite, or your employer, and not to use it for any unlawful purpose.

3. The /script and /restlet endpoints

The /script and /restlet endpoints can execute arbitrary code in your NetSuite session. Both default to disabled. Enabling them is your decision and your responsibility — by doing so, you accept the risk that any client able to reach your local server can run code as the NetSuite user you are signed in as.

4. Privacy and data flow

Chartstone runs locally on your machine. Your NetSuite data does not leave your machine through Chartstone. There are two exceptions:

• The local HTTP server returns NetSuite data to whatever client calls it (your AI agent, your script, etc.). You control what runs on your machine and what calls the local server.
• When you click Verify in the Subscription panel, your email is POSTed to chartstone.io/verify/ so we can check your subscription with Stripe. No NetSuite data is included in that request.

5. Subscriptions, billing, and cancellation

The Lite tier is free. Pro is a subscription billed annually through Stripe. By subscribing you authorize SuiteStep, LLC (through Stripe) to charge the price in effect at the time of purchase to the payment method you provide, and to renew the subscription annually until you cancel.

• Cancellation. You may cancel your Pro subscription at any time through the Stripe customer portal. On cancellation, Pro features remain available until the end of the current paid period; after that, the app reverts to Lite.
• Refunds. If you are not satisfied with Pro within 30 days of your initial purchase, contact tim@suitestep.com for a pro-rata refund. After 30 days, subscriptions run to the end of the paid period without refund.
• Price changes. We may change the Pro price; existing subscribers will be notified at least 30 days before any renewal at a new price.

6. License to use Chartstone

We grant you a personal, non-exclusive, non-transferable license to install and use the Chartstone application on devices you own or control. You may not redistribute the application, sell it, sublicense it, or attempt to extract or reuse its source code beyond what applicable law permits.

7. NetSuite trademark

NetSuite is a registered trademark of Oracle America, Inc. Chartstone is an independent third-party tool. We are not affiliated with, endorsed by, sponsored by, or otherwise officially connected with Oracle or any of its subsidiaries.

8. Changes to these Terms

We may update these Terms over time. Material changes are surfaced through the in-app Terms acceptance prompt the next time you launch Chartstone, and through the chartstone.io site. Continued use of the Service after a change constitutes acceptance of the updated Terms.

9. Termination

We may suspend or terminate access to the Service if you breach these Terms or use the Service in a way that harms other users, us, or third parties. You may stop using the Service at any time by uninstalling the application and (if applicable) cancelling your Pro subscription.

10. Governing law

These Terms are governed by the laws of the State of Virginia, USA, without regard to conflict-of-laws principles. Any disputes arising from these Terms or the Service will be resolved in the state or federal courts located in Virginia.
